By accessing and using the services provided by digitalnomades Ltd ("we", "our", or "us"), you accept and agree to be bound by the terms and provision of this agreement. digitalnomades provides cloud computing services, technology consulting, infrastructure management, and related professional services. Our services include but are not limited to cloud migration, security and compliance solutions, data management, technical support, and strategic consulting. The specific services provided to you will be detailed in your service agreement or statement of work.

Payment terms for our services will be specified in your service agreement. Generally, fees are payable in advance on a monthly or annual basis, depending on your chosen service package. All prices are quoted in Euros (EUR) and are exclusive of applicable taxes unless otherwise stated. Late payments may incur additional charges and may result in suspension of services.
All content, software, documentation, and materials provided by digitalnomades remain our intellectual property or that of our licensors. You are granted a limited, non-exclusive, non-transferable licence to use our services and related materials solely for your business purposes. You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of our software.
We are committed to protecting your personal data and privacy in accordance with the General Data Protection Regulation (GDPR) and other applicable data protection laws. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms part of these Terms. You retain ownership of your data, and we will not access or use your data except as necessary to provide our services or as required by law.
We strive to maintain high service availability but cannot guarantee uninterrupted service. We provide technical support during our business hours (Monday to Friday, 9:00 to 18:00 Irish time) and emergency support outside these hours for critical issues. Planned maintenance will be communicated in advance where possible. Service level agreements, where applicable, will be detailed in your specific service contract.
To the maximum extent permitted by law, digitalnomades shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services. Our total liability to you for any claims arising from or related to these Terms or our services shall not exceed the amount paid by you to us for services in the twelve months preceding the claim.
You agree to defend, indemnify, and hold harmless digitalnomades, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees) arising from your use of our services, your violation of these Terms, or your violation of any third party rights.
Either party may terminate the service relationship with appropriate notice as specified in your service agreement. We reserve the right to suspend or terminate your access to our services immediately if you breach these Terms or engage in activities that may harm our systems or other users. Upon termination, you will remain liable for all charges incurred up to the date of termination, and we will provide reasonable assistance in data migration subject to our data retention policies.
Neither party shall be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, elements of nature, acts of God, acts of war, terrorism, riots, civil disorders, rebellions, or other similar causes beyond the reasonable control of such party. In such events, the affected party will notify the other party promptly and use reasonable efforts to remedy the situation.
These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the Irish courts. The parties agree to submit to the personal jurisdiction of such courts for the purpose of litigating all such disputes.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of our services.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired. In such cases, the invalid provision will be replaced with a valid provision that most closely reflects the intent of the original provision.
These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and digitalnomades concerning the use of our services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and digitalnomades with respect to our services.
